Terms & Conditions / Service Agreement

EGA Resources Inc.
Effective Date: April 15, 2026

1. Agreement to Services

By requesting services, approving a quote, or allowing work to begin, the العميل (“Client”) agrees to the terms outlined in this Service Agreement with EGA Resources Inc. (“Company”).

2. Scope of Work

All work will be performed based on the agreed scope outlined in the estimate, quote, or written communication.

Any changes to scope—including material type, volume, access, or additional work—must be approved and may result in adjusted pricing.

3. Estimates & Pricing

All pricing provided is based on:

  • Site conditions
  • Material type and volume
  • Equipment required
  • Accessibility and logistics

Final pricing may be adjusted if actual conditions differ from those initially represented.

4. Payment Terms

  • Payment terms will be specified on the invoice or quote (standard Net 30 unless otherwise agreed)
  • Deposits may be required prior to scheduling
  • Full payment may be required upon completion for certain jobs

Late payments may be subject to additional fees and/or service restrictions.

5. Scheduling & Access

The Client is responsible for:

  • Providing safe and reasonable access to the jobsite
  • Ensuring the site is ready for scheduled work
  • Coordinating with other contractors or trades

Delays caused by lack of access, site readiness, or coordination issues may result in additional charges.

6. Standby & Delay Charges

Standby time caused by jobsite delays, restricted access, or inactive work conditions beyond the Company’s control will be billed at standard hourly equipment rates.

7. Mobilization & Travel

Mobilization and transportation of equipment are included within standard service areas unless otherwise specified.

Projects outside the standard service area or requiring special logistics may incur additional mobilization charges.

8. Site Conditions & Limitations

Pricing assumes normal working conditions. Additional charges may apply for:

  • Difficult or restricted access
  • Unstable or unsafe ground conditions
  • Obstructions or unforeseen site issues
  • Manual labor beyond standard equipment capabilities

The Company reserves the right to stop work if conditions are deemed unsafe.

9. Material & Disposal

The Client is responsible for accurately representing the type of material to be handled.

Additional charges may apply if:

  • Material differs from what was disclosed
  • Hazardous or restricted materials are present
  • Disposal fees increase based on weight or facility requirements

The Company reserves the right to refuse handling of prohibited or hazardous materials.

10. Damage & Liability

While reasonable care is taken, the Company is not responsible for:

  • Pre-existing site conditions
  • Underground utilities not clearly marked
  • Damage caused by unstable ground or hidden conditions
  • Normal wear to driveways, lawns, or surfaces due to equipment use

The Client is responsible for identifying and marking all utilities, irrigation systems, and underground hazards prior to work.

11. Weather & Unforeseen Delays

Work may be delayed or rescheduled due to weather, safety concerns, or unforeseen conditions. The Company will communicate any necessary changes.

12. Cancellations & Rescheduling

  • Cancellations must be made at least 24–48 hours in advance
  • Late cancellations may result in a cancellation fee
  • Deposits may be non-refundable depending on scheduling and mobilization

13. Right to Refuse or Stop Work

The Company reserves the right to refuse or stop work due to:

  • Unsafe conditions
  • Misrepresentation of project scope
  • Non-payment or contract violations

14. Indemnification

The Client agrees to indemnify and hold harmless EGA Resources Inc. from any claims, damages, or liabilities arising from site conditions, third-party actions, or inaccurate project information provided by the Client.

15. Limitation of Liability

To the fullest extent permitted by law, the Company’s liability is limited to the value of the services provided.

The Company is not liable for indirect, incidental, or consequential damages.

16. Governing Law

This Agreement shall be governed by the laws of the State of Florida.

17. Acceptance of Terms

By approving a quote, signing an agreement, or allowing work to begin, the Client acknowledges and agrees to these Terms & Conditions.
